Terms and Conditions

These Terms and Conditions (dated 20 January 2022) are between:

Excellence Squared (Canada) Ltd (company number xxx) having its registered office at 869 Wild Life Road, Perth, Ontario, Canada K7H 3C5 as owner and operator of the ex2 Community.

Definitions and interpretation

The following terms have the references set out below:

“ex2 Community” refers to the online platform sourced at https://ex2academy.mn.co/ or https://community.ex2.academy

“Member” refers to an individual, organization, business or corporation who has subscribed to Membership. “Membership Period” means a period of twelve calendar months.

“You” and “your” means and refers to the Member.

“We” and “our” refers to the management of the ex2 Community.

These Terms and Conditions are in relation to your Membership of the ex2 Community. You must agree to these in order to engage in and use the ex2 Community.

We reserve the right to revise these Terms and Conditions at any time and it is your responsibility to check this page from time to time and note any changes we might have made, as they are binding. Some of the provisions contained in these Terms and Conditions may also be superseded by provisions or notices published elsewhere on https://ex2.academy/tc

We reserve the right to change the benefits that apply to the ex2 Community Membership at any time and without prior notice. If we update these Terms and conditions, we will post a revised version and a summary of our changes on https://ex2.academy/tc

Changes to these terms

We may update these Terms and Conditions at any time to reflect changes in or

relevant laws or regulatory requirements;
security, technical or operational issues;
the operation of our website and / or services; or
our business

Membership Benefits

2.1 – We reserve the right to change the benefits that apply to the ex2 Community Membership at any time and without prior notice.

2.2 Each Member of the ex2 Community requires their own subscription and Membership benefits cannot be shared with others who are not Members of the ex2 Community.

2.3 The ex2 Community reserves the right to cancel an online event or session without prior notice. The ex2 Community will not be held responsible for any costs incurred as a result of this cancellation.

2.4 Places at online events and sessions are only available for Members of the ex2 Community and are non-transferable.

2.5 You are responsible for updating your contact details and preferences which the ex2 Community holds to ensure that full benefit entitlement is received. You can update your details via login at https://ex2academy.mn.co/ or https://community.ex2.academy or by contacting community@ex2.academy

2.6 We cannot guarantee that all ex2 Community resources will display on all devices, operating systems or browsers. Please see the Community Guidelines for recommended devices, operating systems and browsers.

Membership Contract

3.1 You agree that the ex2 Community may hold and process all personal and business information which you supply as part of your Membership application and any further information you supply during the course of your Membership. You agree also that the ex2 Community may use your Personal Information as set out in the ex2 Community Privacy Policy.

3.2 The annual Membership subscription is subject to change on an annual basis.

3.3 When submitting an application for Membership you are accepting these Terms and Conditions. Our acceptance of your application will create a legally binding contract between you and the ex2 Community incorporating these Terms and Conditions.

3.4 Your 12-calendar month Membership for the Membership Period will start once payment has been received and verified.

3.5 The Membership Period commences on the 1st day of the calendar month in which payment is processed.

3.6 Your Membership will be due for renewal at the end of each Membership Period and a renewal notice will be issued one calendar month prior to the end of the Membership Period.

Cancellation and Refund

4.1 Your Membership of the ex2 Community may be cancelled prior to 30 days of your renewal date. Cancellation of Membership must be made in writing to cancellations@ex2.academy

4.2 Membership fees are non refundable.

e-Learning, publications, resources, forums, live sessions and website

5.1 All resources and materials available on the ex2 Community website as part of its Membership offer are for your private use only and must not be used directly or indirectly for commercial or non-commercial purposes of any kind. You may not publish, circulate, re-utilise any part of the ex2 Community materials written, videos, recorded or in any other form (including photocopying or storing it by electronic means) other than as specifically permitted by applicable law or conditions of Membership, and by making copies as part of any necessary acts for solely educational, non- commercial purposes.

5.2 Excellence Squared (Canada) Limited owns the license of all copyright, trademarks, design rights, database rights, confidential information or any other intellectual property rights (together the “Intellectual Property”) on https://ex2academy.mn.co/ or https://community.ex2.academy unless otherwise stated. The Intellectual Property is protected by copyright and other intellectual property laws and treaties around the world. All such rights are reserved.

5.3 Whilst we try to ensure that the information on this website, in associated publications and the advice given by our ex2 Community team is current and correct, no undertaking, representation, warranty or other assurance, express or implied, is made or given by or on behalf of the ex2 Community as to the reliability, accuracy or completeness of the information, opinions, data or other materials contained on this website. No responsibility or liability is accepted by ex2 Community for any such information, opinions or data.

5.4 Where the ex2 Community contains 3rd party links, these are being provided for your convenience. We do not endorse or accept any responsibility for the content of those websites and will not be liable in any way for any loss or damage which you may suffer by using those websites.

5.5 Written requests to use the information available on this website for commercial purposes may be submitted via email to community@ex2.academy and should not be used until a written agreement from the ex2 Community is obtained.

Member Conduct

6.1 As a Member you are expected to abide by the Community Guidelines found on the ex2 Community website at https://ex2.academy/communityguidelines

All Members of the ex2 Community agree to:

6.1.1 Abide by the provisions of the Community Guidelines, as may be amended from time to time; and

6.1.2 The ex2 Community may also suspend or terminate your Membership with immediate effect by giving written notice in this respect if:

You have failed to pay the annual subscription due despite being sent a written reminder to do so;
The information provided by you as part of the application process is found to have been untrue or inaccurate;
There are any other circumstances which, in the reasonable opinion of the ex2 Community make the applicant unsuitable for continued Membership or whose Membership may damage the reputation, standing and good name of the ex2 Community (and related organisations); or
You have breached these Terms and Conditions or the Community Guidelines.

Data Protection

7.1 By entering into these Terms and Conditions of Membership you acknowledge that we will collect and process your personal data as necessary for our performance of these Terms on the basis set out in our Privacy Policy.

7.2 Individuals data (whether an individual member or an individual working for a business or corporate Member) will not be shared with any external parties outside of ex2 Community.
